When tokens change hands by agreement and not through a market, the price is whatever the two sides settle on. Each arrives with a number that suits them. A measurement taken by neither is a place to start from.

01 The situation

Two parties, two numbers

A founder buying out a partner. A fund taking an allocation from an early holder. A project settling a debt in its own token. In each, an amount too large to sell on the open market without moving it is priced by negotiation.

The seller points to the quoted price. The buyer points out that nobody could sell that much at that price, and asks for a discount. Both are right, and neither can show the other how large the discount should be, because the only evidence either has is their own.

What is usually missing is the plain measurement between the two: what the amount would have returned if it had been sold on the market on that day. It is not the price the deal should happen at. It is the alternative both sides are comparing the deal to.

The two figures differ because the markets differ: one is open to anyone holding the tokens, the other to account holders of that exchange. Which is the right comparison for a given deal is for the parties to decide. The statement shows both so that the choice is made in the open.

03 What the statement shows

Taken by neither side, checkable by both

Either party can order the statement; the figures are the same whoever pays, because paying changes no figure. It is taken at one minute, stored, and never recomputed.

The other side does not have to trust the copy they are sent. Every statement carries a reference and a fingerprint, and the verify page confirms that we issued it and that it is unchanged. They can also run the free Sellability check themselves for the same token and amount and see figures of the same kind.

If the deal is to close on a set date, the statement can be ordered now and taken at 23:59 UTC that day, so the measurement both sides rely on is of the day itself and not of the week the terms were drafted.

04 Which statement

For an amount changing hands, the Position Statement

A deal is about an amount, not an address, so the Position Statement is the one that fits: $12, for the token and the number of tokens in the deal.

If the buyer also wants to see that the seller’s address had the tokens in it on the day, that is a different question, and the Realizable Value Statement of that address answers it for $12: it prints the balance as the chain reported it. Neither statement says who controls an address.

05 What it does not do

A reference point, not a price

The statement does not say what the deal should be done at. A buyer taking a large amount in one piece is offering something the market cannot, and a seller is giving up the chance to sell slowly; the measurement captures neither.

It is not a valuation or an opinion, it is not evidence that the seller has the amount, and it does not take the place of an agreement. It is one measured fact that both sides can put in front of whoever advises them.
